1. ACCEPTANCE OF TERMS

By accessing or using Paydroply, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you are prohibited from using our services.

2. SERVICE DESCRIPTION

Paydroply provides a platform that allows users to upload digital files and sell them to third parties. We act solely as a service provider and technical intermediary; we do not take ownership of your files, nor do we vet every transaction.

Furthermore, Paydroply does not act as a merchant of record. Users are solely responsible for all tax obligations, including the collection and remittance of VAT or sales tax; our role is strictly limited to providing the technological infrastructure.

3. INTELLECTUAL PROPERTY AND COPYRIGHT

You retain all rights to the content you upload. However:

  • Ownership Requirement: You must be the original creator or hold all necessary legal licenses/permissions for any file you upload.
  • Copyright Infringement: It is strictly forbidden to sell, distribute, or share material protected by third-party copyright, trademarks, or trade secrets unless you have explicit written consent from the owner.
  • Takedown Policy: We reserve the right to remove any content immediately if we receive a claim of infringement or believe your content violates the rights of others.

4. PROHIBITED CONTENT AND CONDUCT

To maintain the integrity of Paydroply, the following activities and content types are strictly prohibited:

  • Illegal Material: Any content that violates local or international laws, including but not limited to narcotics, stolen data, or illicit substances.
  • Exploitative Content: Material that promotes child exploitation, human trafficking, or any form of non-consensual imagery.
  • Malicious Software: You may not upload files containing viruses, malware, spyware, or any code designed to damage software or hardware.
  • Fraudulent Activities: Using the platform for money laundering, "carding", or any deceptive financial schemes.
  • Immoral Use: We reserve the right to terminate accounts that use the platform for purposes deemed unethical, deceptive, or contrary to public order and decency.

5. SECURITY AND DATA INTEGRITY

  • Our Commitment: We employ industry-standard security measures to protect our infrastructure. In the event of a confirmed security breach or unauthorized access, we commit to notifying affected users in a timely manner once the breach has been identified and confirmed by our team. You acknowledge that cyberattacks may not always leave immediate traces and our obligation to notify begins only upon actual discovery.
  • Assumption of Risk: While we work diligently to secure the platform, the transmission of information via the internet is never entirely risk-free. By using Paydroply, you acknowledge that the service is provided "as is" and you assume the inherent risks of digital data storage.
  • User Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials (email and password). Paydroply is not liable for unauthorized access resulting from compromised user credentials.
  • Limitation of Liability: You expressly agree that Paydroply and its operators shall not be held financially or legally liable for any direct, indirect, or incidental damages resulting from cyberattacks, hacking, or data breaches, provided such events occurred despite our reasonable security efforts.

6. DISCLAIMER OF LIABILITY

Paydroply is not responsible for the quality or legality of the files sold by users, nor for financial losses resulting from transactions between buyers and sellers.

7. SELLER RESPONSIBILITIES

Sellers using Paydroply bear full legal and financial responsibility for their sales activity. Specifically:

  • Legal Compliance: It is the seller's sole responsibility to ensure their sales comply with all applicable local and international laws, including consumer protection regulations and digital goods legislation.
  • Tax and VAT: Sellers are solely responsible for determining, collecting, and remitting any applicable taxes, VAT, or sales tax on their transactions. Paydroply does not calculate, collect, or remit taxes on behalf of sellers.
  • Refunds and Disputes: Sellers are solely responsible for handling refund requests, chargebacks, and any disputes raised by their buyers. Paydroply is not a party to transactions between sellers and buyers and bears no liability for the outcome of such disputes.
  • Financial Liability: Any financial losses, penalties, or legal claims arising from a seller's transactions are the exclusive responsibility of the seller. Paydroply shall not be held liable for any such losses.

8. ACCOUNT TERMINATION

We reserve the unilateral right to suspend or terminate your access to Paydroply at any time, without prior notice, for violations of these terms or high-risk behavior.
